Shareholder Services (ISS) provides proxy voting and corporate governance
services to institutional shareholders.Under new proxy voting policies, ISS calls for the rotation of audit
firms, going beyond the Sarbanes-Oxley Act, which requires companies to rotate
the senior audit partner every five years.
ISS also recommends that investors vote against auditors and abstain
voting for audit committee members when fees for non-audit fees appear
excessive. In addition, ISS said it will
support shareholder resolutions to expense stock options and those that call of
boards to be at least two-thirds independent.
